CONTRACTS AND NEGOTIATIONS
Preparing, negotiating and renegotiating contracts is the core business of our law firm. We work for both vendors and clients. The largest contracts we have worked on exceeded one billion zlotys; we have provided advice on the purchase and implementation of systems for the public administration, billing systems in the telecommunication and energy sectors, practically all major ERP and CRM systems, call centres, etc. We have worked on a number of contracts for large groups of companies, participating in the creation of software management policies within such entities.
By way of example, we can list the following contract categories that our law firm has been involved in recently:
Licence agreements and sales of property rights
Standard terms and conditions used by software manufacturers (IFS, Microsoft, Oracle, SAP, others), dedicated contracts (banking, energy, telecom sectors, state administration) and complex contracts taking into account the requirements implemented across large groups of companies (internal distribution models, tax and accounting issues, etc.). We also develop distribution models, contracts to be signed with both employees and individuals rendering services outside labour law, and open source contracts.
Implementation contracts
Whether modelled as a contract of specific work or a contract of mandate, we have prepared implementations of ERP, CRM, call centre, electronic banking, transaction and billing systems for companies in the energy and telecommunication sectors, and dedicated systems. With respect to implementation projects, in addition to our legal expertise, we can offer our knowledge of the Polish IT industry’s standards, practices and project methodologies.
Support and maintenance agreements; outsourcing contracts
Distributed and mass printing, call centres, collocation and hosting, SaaS, takeover of a part of an enterprise. We are one of the few law firms in Poland which have taken part in the preparation of comprehensive outsourcing contracts, including projects in the state administration and telecommunication sectors with budgets of several hundred million euros. We have also prepared support agreements for software, implementations, hardware and telecommunication systems.

Telecom agreements, access agreements, MVNO agreements (several projects under various models, from branding to full MVNO), agreements on content transfer within networks.
